Terms of Service

The agreement between you and Proofo s.r.o. for using our service. Please read it — a few clauses (what Proofo is, and the limits of our liability) really matter.

Important — please read this first

Proofo creates a tamper-evident record of an agreement between you and another person. It is not a law firm, it does not provide legal advice, and it does not issue qualified electronic signatures. Whether any given agreement is legally binding or enforceable depends on your own circumstances and local law. If in doubt, consult a qualified lawyer.

Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you and Proofo s.r.o. ("Proofo", "we", "us") governing your use of proofo.app and related services (the "Service"). By creating an account, signing a deal, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

What Proofo is — and what it isn't

Proofo lets you draft an agreement, share it, have another party sign it on their own device, and then seals the result with a SHA-256 fingerprint so later changes are detectable. Both parties receive a timestamped PDF copy.

Proofo is a tool, not a party or an adviser

  • We are a neutral technical provider. We are not a party to any agreement you make through the Service and take no side in it.
  • We do not provide legal advice, and nothing in the Service or its templates is a substitute for advice from a qualified lawyer.
  • We do not verify the identity of signers beyond the verification step you choose (email or SMS one-time code), and we don't guarantee that a signer is who they claim to be, has authority to sign, or intends to honour the deal.
  • We do not guarantee that any agreement is valid, binding, or enforceable in your jurisdiction.

Electronic signatures and legal effect

Proofo produces an advanced record of intent — a signed, tamper-evident document plus an audit trail — which can serve as strong evidence that an agreement was made. It is not a Qualified Electronic Signature (QES) as defined by EU Regulation (EU) No 910/2014 (eIDAS), and it is not intended for documents that the law requires to be notarised, witnessed, or executed in a specific qualified form. You are responsible for checking what form your agreement needs.

Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You're responsible for the accuracy of the information you provide and for keeping your account credentials secure.
  • You're responsible for all activity that happens under your account. Tell us promptly at support@proofo.app if you suspect unauthorised use.

Note: a person can sign a deal you send them without creating an account. If you send a signing request, you confirm you have a lawful basis to contact that person at the email or phone number you provide.

Acceptable use

You agree not to use the Service to:

  • break any law, or create agreements for illegal purposes;
  • impersonate anyone, forge a signature, or misrepresent your identity or authority;
  • upload content that is fraudulent, defamatory, infringing, obscene, or that violates someone else's rights or privacy;
  • send unsolicited signing requests or otherwise use the Service to spam or harass;
  • handle documents that require a notary, court, or qualified/witnessed form the Service does not provide (for example certain wills, property transfers, or family law documents);
  • probe, disrupt, or circumvent the security, rate limits, or integrity of the Service, or attempt to defeat the tamper-evident sealing.

You are solely responsible for the content and legality of the agreements you create and the way you use them.

Your content

You keep ownership of the agreements, terms, and signatures you create ("Your Content"). You grant us a limited licence to host, process, transmit, and display Your Content only as needed to operate and provide the Service to you and your counterparties. You're responsible for keeping your own copies of sealed PDFs.

Plans, billing, and refunds

Proofo offers a free tier and paid subscriptions (currently The Specialist and The Dealmaker), billed monthly or yearly in advance. Prices are shown in the app and may change with notice for future billing periods.

  • Subscriptions renew automatically until cancelled. You can cancel anytime; access continues until the end of the paid period.
  • Except where mandatory law requires otherwise, fees already paid are non-refundable.
  • You're responsible for any taxes that apply to you.

EU consumer withdrawal right

If you are an EU consumer, you normally have a 14-day right to withdraw from a distance contract. By starting to use a paid digital service within that period, you ask us to begin immediately and acknowledge you may lose the withdrawal right once the service is fully performed, as permitted by law.

Availability and changes

We work to keep the Service available and reliable, but we provide it on an "as-available" basis and may modify, suspend, or discontinue features. We may perform maintenance and impose reasonable limits (such as rate limits) to protect the Service.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any agreement made through it will achieve a particular legal outcome. Some jurisdictions don't allow certain warranty exclusions, so parts of this section may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Proofo and its owners, staff, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business — including losses arising from a dispute between you and a counterparty, from a signature or agreement being challenged, or from the Service being unavailable.

Where liability cannot be excluded, our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) EUR 100.

Nothing in these Terms limits liability that cannot be limited by law — such as for death or personal injury caused by negligence, fraud, or your statutory rights as a consumer.

Indemnity

You agree to indemnify and hold Proofo harmless from claims, damages, and reasonable costs (including legal fees) arising from your agreements, Your Content, your use of the Service, or your breach of these Terms — except to the extent caused by our own wrongdoing.

Suspension and termination

You can stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, use the Service unlawfully, or create risk for us or other users. On termination, your right to use the Service ends; sections that by their nature should survive (such as content ownership, disclaimers, liability limits, and indemnity) will continue to apply.

Governing law and disputes

These Terms are governed by the laws of the Czech Republic, and the courts of the Czech Republic have jurisdiction — except that, if you are a consumer, you keep the protection of the mandatory laws and the courts of your country of residence. EU consumers can also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

Changes to these terms

We may update these Terms from time to time. We'll update the "last updated" date and, for material changes, notify you through the Service or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
